1. Introduction
These Terms & Conditions (“Terms”) govern your use of the website and services offered by Evolution Paint
& Graphics Ltd (“we”, “us”, or “our”). By accessing or using our website or engaging our services, you agree
to be bound by these Terms.
2. Our Services
We offer a range of services including:
– Signage installation and manufacturing
– Furniture installation and manufacturing
– Bespoke exhibition stand manufacturing
– Design services and 3D visualisation
– Account management
All services are subject to availability and agreement on scope, pricing, and timeline.
3. Designs and Drawings
All drawings and visuals provided by Evolution Paint & Graphics Ltd are intended for illustrative and design
purposes only. Do not scale from drawings or match colours directly from them. All designs remain the
intellectual property of Evolution Paint & Graphics Ltd and may not be copied, shared, or shown to any third
party without prior written consent.
4. Payments and Invoicing
For new customers, a 50% deposit is required before work commences. The remaining balance is due upon
completion of works or within 30 days of the invoice date, whichever comes first. For approved account
holders, payment is due within 30 days from the date of invoice. We reserve the right to charge interest or
suspend work for late payments in accordance with the Late Payment of Commercial Debts (Interest) Act
1998.
5. Intellectual Property
All materials, content, and visuals on our website and provided during the design and manufacturing process
are owned by Evolution Paint & Graphics Ltd and may not be reused, replicated, or redistributed without
express written permission.
6. Limitation of Liability
We shall not be held liable for any indirect, incidental, or consequential damages arising from the use of our
website or services. Our total liability in respect of any services provided shall be limited to the amount paid
by the customer for those services.
7. Privacy
We are committed to protecting your privacy. Please refer to our Privacy Policy for information on how we
collect, use, and safeguard your data.
8. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any
disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Variation, Termination and Continued Applicability
11.1) Variations are only valid if agreed in writing and signed by a Director of both Parties.
11.2) Termination may be effected at any time under Clauses 3 and 5.
11.3) Either Party may terminate a Contract immediately if the other Party commits a material breach not
remedied within 30 days, becomes insolvent, ceases trading, or undergoes a change of control.
11.4) We may terminate or suspend services for non-payment.
11.5) Inactivity does not invalidate Terms for existing Orders.
11.6) On termination:
– All outstanding invoices must be paid immediately
– We may invoice for work performed and incurred costs
– Materials and products must be returned or retrieved
– Personal Data will be returned or destroyed upon request
– All accrued rights survive termination.
12. Assignment and Rights of Third Parties
12.1) You may not assign or transfer rights or obligations without our written consent.
12.2) These Terms are not enforceable by third parties.
13. Notices
Notices must be in writing and delivered to the Finance Director at our registered office. They may be
delivered in person, by recorded post, or by email with confirmation. Notices are deemed received upon
delivery or acknowledgement.
14. Legal Jurisdiction
14.1) We act as a principal at law.
14.2) All Contracts are governed by English law and subject to the jurisdiction of the English courts.
